Welcome to The Referral Project. We are so excited to bring together committed business owners who want to build genuine relationships, support one another, exchange referrals, and create new opportunities throughout the year.

Please read these Membership Terms & Conditions carefully before joining.

These Terms apply to The Referral Project membership, our website at thereferralproject.com, referral groups, member meetings, directories, communities, training, events, resources, services, and other offerings provided by The Referral Project LLC, referred to throughout these Terms as “The Referral Project,” “we,” “us,” or “our.”

By purchasing a membership, checking the agreement box at checkout, accessing the member community, or participating in The Referral Project, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

1. YOUR 12-MONTH MEMBERSHIP COMMITMENT

The Referral Project is designed for business owners who are ready to commit to building meaningful relationships for an entire year.

Strong referral relationships do not happen overnight. It takes time to learn about another person’s business, understand who they serve, build trust, recognize the right opportunities, and feel confident recommending them to others.

For that reason, The Referral Project is offered as a 12-month membership.

This is not a month-to-month networking program. It is intended for business owners who are excited to show up, participate, support their group, and grow alongside the other members throughout the year.

By joining, you agree to a full 12-month membership commitment.

2. MEMBERSHIP PAYMENT OPTIONS

Members may choose one of the following payment options:

Paid-in-Full Option:  

One payment of $2,997 for the complete 12-month membership term.

Monthly Payment Option:  

Twelve monthly payments of $297, for a total of $3,564.

The monthly option allows you to divide the cost of your annual membership into 12 payments. It is not a month-to-month membership that can be canceled after only a few months.

By selecting the monthly option, you authorize The Referral Project and its payment processor to charge the payment method provided at enrollment $297 each month for 12 consecutive months.

By selecting the paid-in-full option, you authorize a one-time charge of $2,997 for the complete 12-month membership term.

Members who choose the monthly option agree to complete all 12 monthly payments.

3. MEMBERSHIP START DATE

Unless otherwise stated in writing, your 12-month membership term begins on the date your purchase is completed and your first payment is successfully processed.

Your membership confirmation, welcome email, or member account may also identify your official membership start and renewal dates.

4. AUTOMATIC RENEWAL

Your membership will automatically renew for another 12-month term unless you cancel before your renewal date.

This allows members who want to continue building relationships with their referral group to remain active without having to complete a new enrollment each year.

Before your membership renews, The Referral Project will send a written renewal notice as required by applicable law. The notice may include:

• Your scheduled renewal date  

• Your renewal payment amount  

• Any changes that will apply to the next membership term  

• Instructions for canceling the upcoming renewal  

To prevent your membership from renewing for another year, you must submit a written cancellation request before your renewal date by emailing:

We will confirm receipt of your cancellation request by email. Please keep that confirmation for your records.

Canceling prevents the next 12-month membership term from beginning. It does not end your current membership term, cancel payments that remain due during your current term, or provide a refund for payments already made.

Once a membership renews, the member is committed to the newly renewed 12-month term.

5. FOUNDING MEMBER PRICE PROTECTION

Members who joined through an officially designated founding member offer will keep their original founding member price from year to year as long as their membership remains continuously active and in good standing.

Your founding member price will not increase as long as:

• Your membership renews without interruption  

• Your payments remain current  

• You do not cancel your membership or payment plan  

• Your membership is not terminated  

• You do not initiate an improper chargeback or payment dispute  

A temporary failed or declined payment will not automatically remove your founding member pricing if you promptly update your payment information and bring your account current within the time provided by The Referral Project.

If you cancel your founding membership or allow it to expire, the founding member price will end.

If you later decide to rejoin, you will enroll at the membership price and under the payment terms available at that time. Your previous founding member price will not be reinstated.

Founding member pricing belongs to the original founding member and does not transfer to another person.

6. FINAL SALE AND NO-REFUND POLICY

Except where a refund, cancellation right, credit, or other remedy is required by applicable law, all membership purchases and payments are final and non-refundable.

This applies to:

• Monthly membership payments  

• Paid-in-full purchases  

• Initial membership terms  

• Renewed membership terms  

We understand that life and business circumstances can change. However, each member reserves a place within a carefully created referral group and receives access to the community, directory, meetings, relationships, resources, and opportunities provided throughout the membership term.

For that reason, refunds, partial refunds, prorated refunds, credits, or reimbursements will not be provided because of:

• An inability to attend every meeting  

• Scheduling conflicts  

• A decision to participate less frequently  

• A decision to leave the membership early  

• Changes in personal, family, financial, professional, medical, or business circumstances  

• Failure to access or use available membership benefits  

• Dissatisfaction with the number of referrals, introductions, clients, sales, or opportunities received  

• Changes to meeting schedules, speakers, platforms, group structure, or membership resources  

• Suspension or termination because of a violation of these Terms  

• Cancellation after an automatic renewal has already occurred  

Members who choose the monthly payment option remain responsible for all 12 payments included in the applicable membership term.

Members who choose the paid-in-full option will not receive a full or partial refund if they decide to stop participating before the membership term ends.

7. IF YOU NEED TO STEP AWAY

We understand that unexpected situations can happen.

If you truly need to step away before completing your 12-month membership term, you may request to transfer the remaining portion of your membership to another qualified business owner.

The original member is responsible for finding a potential replacement member.

The proposed replacement member must:

• Own or represent a legitimate business  

• Agree to these Membership Terms & Conditions  

• Meet the professional standards of The Referral Project  

• Be approved by The Referral Project  

• Represent a business category that is available within the appropriate referral group  

A replacement member may not be approved if their business category is already filled or if The Referral Project determines that they are not an appropriate fit for the group.

A transfer is not complete until it has been approved in writing by The Referral Project.

The original member remains responsible for the membership and all scheduled payments unless and until The Referral Project approves the transfer and confirms in writing who will be responsible for the remaining payments.

Identifying a possible replacement member does not automatically release the original member from the payment commitment.

Once approved, the replacement member will receive access for the remaining portion of the existing membership term.

A membership transfer does not:

• Create a new 12-month term  

• Restart the original membership term  

• Create a right to a refund  

• Transfer founding member pricing  

• Guarantee placement in the original member’s exact group  

• Remove responsibility for payments due before the transfer was completed  

Memberships may not be sold, shared, assigned, or transferred without written approval from The Referral Project.

8. FAILED OR LATE PAYMENTS

Members are responsible for keeping a valid payment method on file throughout the membership term.

If a scheduled payment is declined, you authorize The Referral Project and its payment processor to make reasonable additional attempts to process the payment.

We may contact you and ask you to update your payment information.

While an account remains past due, access to meetings, the directory, community, resources, and other membership benefits may be temporarily paused.

Pausing access does not cancel the membership or remove the remaining payment commitment.

If an account remains unpaid, The Referral Project may terminate access, refer the unpaid balance for collection, or pursue other lawful remedies.

9. MEETING ATTENDANCE AND PARTICIPATION

The Referral Project works best when members consistently show up, learn about one another’s businesses, build trust, make thoughtful introductions, and contribute to the group.

Members are expected to make a sincere effort to attend as many scheduled meetings as reasonably possible.

We completely understand that members have businesses, families, vacations, travel, appointments, emergencies, and other responsibilities. From time to time, you may need to miss a meeting. That is understandable.

At the same time, regular participation is an important part of protecting the relationships, energy, trust, and effectiveness of each referral group.

When members participate consistently, the group has the opportunity to understand their business, recognize the right referrals, and confidently recommend them to others.

When a member repeatedly misses meetings or remains inactive for an extended period, it becomes difficult for those relationships and referral opportunities to develop.

If a member demonstrates ongoing non-participation, The Referral Project may contact them to discuss their involvement and how they can become more connected to the group.

When necessary to protect the integrity and effectiveness of the community, The Referral Project may:

• Contact a member regarding ongoing absences  

• Move a member to a group that may be a better fit  

• Temporarily pause or restrict access  

• Open the member’s business category to another business owner  

• End a membership when continued non-participation negatively affects the group  

A reassignment, restriction, suspension, or termination does not create a right to a refund or remove any remaining payment obligations.

10. BUSINESS CATEGORIES AND GROUP PLACEMENT

The Referral Project may organize members into smaller referral groups based on factors such as:

• Business category  

• Target audience  

• Experience  

• Availability  

• Location  

• Meeting schedule  

• Group balance  

• Overall compatibility  

We may limit the number of members representing the same or a substantially similar business category within an individual referral group.

The Referral Project may determine:

• Whether two businesses fall within the same or a similar category  

• Whether a business category is currently available  

• Which referral group is the best fit for a member  

• Whether a member should be moved to another group  

• Whether additional groups or categories should be created  

• Whether a category should be reopened because of inactivity, nonpayment, suspension, transfer, or termination  

Membership does not guarantee category exclusivity throughout the entire Referral Project community.

Unless otherwise agreed in writing, any category protection applies only within the member’s assigned referral group.

11. MEMBER DIRECTORY AND CONTACT INFORMATION

Membership may include access to a member directory, private community, contact information, meeting details, networking tools, and other resources designed to help members connect.

By participating, you understand that the business information you voluntarily provide may be visible to other approved members.

This may include:

• Your name and photograph  

• Your business or company name  

• Your email address and telephone number  

• Your website and social media profiles  

• Your professional biography  

• Your business category  

• Your products or services  

• Your ideal clients and referral needs  

• Other business-related information you choose to provide  

Members agree to use this information only for legitimate networking, relationship-building, collaboration, introductions, and referral purposes.

Members may not:

• Sell or rent member information  

• Scrape or harvest information from the directory  

• Copy or download the directory for unauthorized purposes  

• Add members to marketing lists without permission  

• Send spam or excessive solicitations  

• Publish or distribute member information  

• Share directory access with nonmembers  

• Use member information for unrelated commercial purposes  

Access to member information ends when the membership expires, is transferred, is suspended, or is terminated.

12. REFERRALS AND RESULTS

The Referral Project provides opportunities for relationship-building, networking, education, introductions, collaboration, business development, and referrals.

However, The Referral Project cannot guarantee:

• A specific number of referrals  

• Leads or introductions  

• Clients or customers  

• Sales or revenue  

• Profits  

• Contracts or partnerships  

• Speaking or media opportunities  

• Business growth  

• Any specific personal, professional, or financial result  

The purpose of the community is to create an environment where strong relationships and potential opportunities can develop.

Each member’s results will depend on factors such as attendance, participation, communication, professionalism, reputation, follow-up, products, services, pricing, customer experience, effort, and market conditions.

Members are responsible for evaluating every referral, introduction, person, company, product, service, contract, partnership, and opportunity before moving forward.

The Referral Project does not investigate, verify, endorse, or guarantee the qualifications, conduct, products, services, claims, performance, or business practices of individual members.

Being included in The Referral Project directory or community does not mean that The Referral Project formally endorses or guarantees a member or their business.

13. MEMBER CONDUCT

Members agree to conduct themselves professionally, respectfully, honestly, and ethically.

We want The Referral Project to remain a welcoming, productive, trustworthy, and supportive community.

The following conduct is not permitted:

• Harassment, bullying, intimidation, or discrimination  

• Threatening, abusive, hateful, defamatory, or disruptive behavior  

• Spam or excessive solicitation  

• Repeated unwanted contact with another member  

• Fraudulent, misleading, illegal, or deceptive business practices  

• Sharing confidential information without permission  

• Misusing information found in the member directory  

• Recording private meetings or conversations without authorization  

• Misrepresenting an affiliation with or endorsement by The Referral Project  

• Promoting illegal, harmful, fraudulent, or deceptive products or services  

• Making false, misleading, or unsubstantiated claims  

• Conduct that damages the safety, trust, relationships, integrity, reputation, or operation of the community  

The Referral Project may investigate reported conduct and take reasonable steps to protect the community.

Depending on the circumstances, this may include:

• A private conversation or warning  

• Moving a member to another group  

• Restricting or pausing access  

• Removing a member from a meeting or community  

• Ending the membership  

A membership may be ended without refund when a member violates these Terms or engages in conduct that The Referral Project reasonably believes is harmful to the community.

Ending access does not eliminate any remaining payment commitment.

14. CONFIDENTIALITY

Members may receive private, personal, financial, strategic, business, customer, or confidential information through meetings, conversations, directories, introductions, events, or community participation.

Members agree not to disclose another member’s confidential information without permission.

Members should use reasonable judgment before sharing sensitive or proprietary information with the community.

The Referral Project cannot guarantee that information voluntarily shared with another member will remain confidential and is not responsible for the unauthorized actions of an individual member.

15. MEETING, EVENT, AND PROGRAM CHANGES

Membership may include referral meetings, networking sessions, training, webinars, directories, resources, events, guest speakers, discounts, and other benefits.

Meeting dates, times, speakers, facilitators, formats, platforms, group placements, and resources may occasionally change.

The Referral Project may:

• Modify meeting schedules  

• Add, remove, reschedule, or cancel meetings  

• Change meeting facilitators or speakers  

• Combine or divide referral groups  

• Move members between groups  

• Change technology platforms  

• Add, replace, or discontinue resources  

• Modify membership benefits for future terms  

We will make reasonable efforts to communicate material changes.

Changes to meetings, speakers, facilitators, platforms, groups, resources, or programming do not create a right to a refund or remove an existing payment commitment.

16. RECORDINGS

Certain meetings, interviews, events, training sessions, or community activities may be photographed, recorded, streamed, or otherwise documented.

When a session is being recorded, reasonable notice may be provided at the beginning of the session or through the registration page, calendar invitation, meeting description, or event information.

By voluntarily participating in a recorded session, you understand that your name, voice, image, likeness, comments, questions, or contributions may appear in the recording.

When the platform allows, you may turn off your camera, change your display name, or choose not to speak if you do not wish to appear.

Members may not record, reproduce, publish, sell, distribute, share, or upload Company meetings, training, resources, presentations, or private member conversations without written permission.

17. TESTIMONIALS AND SUCCESS STORIES

If you voluntarily submit a testimonial, review, success story, photograph, video, recording, or other content to The Referral Project, you give The Referral Project permission to use that content for marketing, promotional, educational, and business purposes.

This permission is worldwide, royalty-free, and continues unless otherwise agreed in writing.

You confirm that the content you submit is truthful and that you have the right to provide it.

You may ask us in writing to stop using your content in future materials. We may not be able to remove content that has already been printed, distributed, published, scheduled, or included in completed materials.

18. AFFILIATE PROGRAM

The Referral Project may offer approved members the opportunity to earn commissions for referring new paying members.

Approved affiliates may earn a commission equal to 20% of qualifying membership payments received during the referred member’s first 365 days as a paying member.

The 365-day commission period begins on the referred member’s original membership start date.

Affiliate commissions are earned when:

• The new member is properly connected to the affiliate through an approved referral link, tracking code, or referral process  

• The person is a new paying member  

• The member completes a qualifying purchase  

• The referred member’s payments are successfully received  

• The referred member remains in good financial standing  

• The payment is not refunded, reversed, disputed, or charged back  

Commissions are calculated on qualifying membership payments actually received by The Referral Project.

If a referred member stops paying, has a payment declined, disputes a charge, initiates a chargeback, or receives a legally required refund or credit, commissions related to those payments will not be owed.

If a commission has already been paid on a transaction that is later reversed, refunded, disputed, or charged back, The Referral Project may deduct that amount from future affiliate commissions.

Unless otherwise stated in separate affiliate terms, commissions are not paid on:

• The affiliate’s own membership  

• Duplicate or fraudulent accounts  

• Taxes  

• Refunded or disputed transactions  

• Payments that are not successfully collected  

• Membership transfers  

• Purchases that cannot be properly connected to the affiliate  

Affiliates must clearly disclose that they may earn a commission when recommending The Referral Project.

Affiliates may not:

• Make false or misleading claims  

• Guarantee referrals, income, clients, sales, or business results  

• Send spam  

• Impersonate The Referral Project  

• Present themselves as employees or legal representatives of The Referral Project  

• Use unauthorized advertising, trademarks, domains, or promotional materials  

• Make promises that are inconsistent with these Terms  

• Use deceptive, unethical, or unlawful marketing practices  

Participation in the affiliate program does not create an employment relationship, partnership, joint venture, franchise, agency, or legal representative relationship.

Affiliates are responsible for their own taxes, disclosures, marketing practices, and compliance with applicable laws.

The Referral Project may establish additional payment schedules, minimum payout amounts, tracking requirements, promotional guidelines, and affiliate rules.

The Referral Project may modify, pause, restrict, or discontinue the affiliate program or remove an affiliate who violates these Terms or engages in conduct that may harm the Company or community.

19. INTELLECTUAL PROPERTY

The Referral Project website, branding, training, recordings, videos, documents, directories, graphics, templates, systems, resources, and materials are owned by or licensed to The Referral Project LLC.

Your membership gives you a limited, personal, non-exclusive, non-transferable, and revocable right to use the materials for your own business purposes.

Unless you receive written permission, you may not copy, reproduce, sell, teach, publish, distribute, upload, sublicense, share, or create commercial products from The Referral Project materials.

20. THIRD-PARTY SERVICES AND TECHNOLOGY

The Referral Project may use third-party websites, payment processors, meeting platforms, software, social media platforms, or other technology to provide membership services.

We do not own or control these third parties and are not responsible for their availability, policies, security, performance, products, or services.

Members are responsible for maintaining the internet connection, devices, software, email access, passwords, and technology reasonably needed to participate.

Temporary outages, technical problems, delayed recordings, platform changes, or interruptions do not create a right to a refund.

21. LIMITATION OF LIABILITY

To the fullest extent permitted by law, The Referral Project LLC and its owners, employees, contractors, representatives, affiliates, speakers, facilitators, and partners will not be responsible for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Membership participation  

• Relationships or interactions between members  

• Referrals or introductions  

• Business decisions  

• Meetings or events  

• Website or technology use  

• Lost sales, revenue, profits, data, opportunities, or goodwill  

• The actions, products, services, advice, claims, or representations of another member or third party  

Participation in The Referral Project is voluntary and undertaken at the member’s own risk.

To the fullest extent permitted by law, The Referral Project’s total liability for a claim relating to the membership will not exceed the amount the member paid to The Referral Project during the three months immediately preceding the event giving rise to the claim.

22. INDEMNIFICATION

Members agree to protect, defend, and hold harmless The Referral Project LLC and its owners, employees, contractors, representatives, affiliates, speakers, facilitators, and partners from claims, losses, damages, liabilities, costs, and expenses arising from or related to:

• The member’s violation of these Terms  

• The member’s behavior within the community  

• The member’s business activities  

• The member’s products, services, marketing, advice, or representations  

• The member’s interactions with another person  

• The member’s violation of another person’s rights  

• The member’s violation of applicable laws  

23. GOVERNING LAW AND DISPUTES

These Terms will be governed by the laws of the state identified in The Referral Project’s final attorney-approved legal documents, without regard to conflict-of-law principles.

Any required mediation, arbitration, court location, or other dispute-resolution process will be governed by the provisions included in the final attorney-approved version of these Terms.

24. CHANGES TO THESE TERMS

The Referral Project may update these Terms from time to time.

Updated Terms will be posted on the Website with a revised “Last Updated” date.

Continued participation after updated Terms become effective means that you accept the updated Terms, except when additional notice or consent is required by law.

Material changes affecting membership payments, founding member pricing, cancellation, or automatic renewal will be communicated as required by applicable law.

25. SEVERABILITY

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

26. FAILURE TO ENFORCE

If The Referral Project does not immediately enforce a provision of these Terms, that does not mean it has waived the right to enforce that provision later.

27. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, checkout disclosures, payment agreement, affiliate terms, and any other written agreement between the member and The Referral Project, make up the complete agreement concerning the membership.

If a separate written agreement signed by both the member and The Referral Project conflicts with these Terms, the signed written agreement will control.

28. ELECTRONIC ACCEPTANCE

By checking the agreement box, clicking the enrollment or purchase button, submitting payment, or otherwise electronically accepting these Terms, you agree that your electronic acceptance has the same legal effect as a handwritten signature.

You confirm that you have had the opportunity to review these Terms before purchasing.

You also confirm that you understand:

• The membership is a 12-month commitment  

• The monthly option consists of 12 required payments  

• Payments are final and non-refundable except where otherwise required by law  

• The membership automatically renews unless canceled before the renewal date  

• You may request an approved membership transfer if an unexpected situation prevents you from continuing
